ADVERTISERS GUIDELINES

ExoClick requires that all advertising campaigns follow the general guidelines listed below.
It is strictly forbidden to:

- Use any material that consists of zoophilia, paraphilia or scatological activities.
- Use any material that contains children or minors in adult or sexual situations.
- Use any material that offers illegal products or services.
- Promote incentives for online activity to surf Websites, click on ads, or any activity that artificially enhances Website or advertiser metrics.
- Promote violence, racial intolerance, or advocacy against any individual, group, or organization.
- Promote fake documents, copied material, or paper mills.
- Use any unauthorized use of third party trademarks that either creates a likelihood of confusion that consumers will believe the products or services originated from the trademark owner, or is likely to dilute the value of a known trademark.
- Promote drugs or any related paraphernalia.
- Promote an advertising network or agency.
- Promote offers of certain weapons, alcohol, tobacco or any related paraphernalia. Advertisements for electronic cigarettes are permitted but cannot contain tobacco.
- Promote or attempt to profit from human tragedy or suffering.
- Promote illegal activities that infringes on the rights of others.
- Promote gambling or online betting that allows U.S. registrations. Any gaming advertisement must be pre-approved, meet a minimum monthly budget requirement, and block U.S. registrations using geo-location and other advanced risk controls. Removing U.S. from the registration field is not considered sufficient. If you would like to advertise a gaming service, please contact us at advertising[at]exoclick.com and detail your services process for blocking U.S. registrations, and provide the expected monthly budget and planned geo-targeting.
- Use any content that targets to children of age 18 and younger.
- Use any material that does not respect particular advertising rules added in the Administration Panel for specific Website(s) in our marketplace.
- Use any advertising material (images, banners, pages or texts) without the appropriate copyrights. Copying banners from other advertisers is also strictly forbidden.
- Use any campaign containing adult material not targetting the adult category (cannot target additional mainstream categories).
- Not respect the ExoClick Rates Card ( https://admin.exoclick.com/ratescard.php ).
Campaign approval or denial remains at ExoClick sole discretion.

Editorial Guidelines
ExoClick requires that all advertising campaigns follow the editorial guidelines listed below:
- Text ads: the text of the ad must be complete and fit within the character limits (Title = 25 characters. Description = 70 characters. Visible URL = 25 characters).
- Text ads cannot be written in all CAPS.
- Text ads must have appropriate spacing.
- Text ads and creative texts must use correct spelling and grammar.
- Text ads and creative texts must have coherent ad copy. This applies to landing pages as well.
- Additional guidelines may be required in certain cases (Premium Sites). Advertisers should be aware of them at any time and make sure their ads respect ExoClick additional guidelines.

Creative Content Guidelines
- The ad copy or creative must match the content of the landing page.
- The ad copy or creative must match the category selected in the process of campaign creation.
- All ad variations must relate to the same category as the original ad creative.
- Creatives either Flash images or Iframes cannot contain sound.
- Creatives using explicit sexual texts will be considered as Hardcore, even if the images are not hardcore.
- Creatives using iframes must be CPM based.

Landing Page URL and content Guidelines
- The URL provided must work and cannot take longer than five (5) seconds to load.
- The URL cannot contain spaces.
- The URL cannot open a blank page, a page with little content (with no added value to the user), a page where the majority of the content consists of ads, a page that is under construction, or a page with raw or incorrect coding.
- The destination URL may not use rotating landing pages.
- The URL cannot link directly to an executable file or any download that is not user initiated. (We allow messages to update media players such as Windows Media Player, Quicktime, Flash players.)
- The landing page cannot require a login to view any site content.
- The landing page cannot contain code scripts that cause the website to break out of frames.
- The landing page may not use spyware, adware, malicious code, or deliver harmful programs.
- The landing page cannot engage in any illegal online activities such as phishing, spoofing or spamming.
- Redirections are not allowed. The display URL of the campaign may correspond to the opening landing page URL.
- The landing page cannot contain prevent a user from easily exiting a landing page.
- The landing page cannot contain more than one (1) exit pop-up.
- The approval or denial of the executable files offered in landing pages remains at ExoClick sole discretion.
- The requirements to redeem a free offer must be within one link of the landing page, and the redemption requirements must be contained within a single page. The requirements of a free offer must be clear and conspicuous and must stay consistent from when the conditions are first stated.
- The landing page cannot be a tube site. Promoting a tube site is only possible in the case of a direct link traffic buy.
- Marketing using tube-like designs are not allowed.
- The landing page cannot run sound automatically.
- Once the ad campaign has been approved by ExoClick, the Advertiser cannot change the landing page URL, the ad variations, the targeted categories, or the targeted countries, without previous approval from the ExoClick Support Team.

PUBLISHERS GUIDELINES

Website Eligibility:
ExoClick reserves the right to approve or to deny the affiliation of a publisher at any time. The following are examples of Websites that are not eligible for participation:
- Websites which contain material that infringes the rights of others (including but not limited to copyright and other intellectual property rights) or which promotes copyright piracy.
- Websites with reference to illicit practices or shock human dignity: Contained with pornographic character staging minors(miners); Contents making the apology of voluntary crimes to life, persons the integrity and sexual aggressions; Contents making the apology of the war crimes, crimes against humanity; Contents provoking discrimination, hate or violence towards a person or towards a group of persons at the rate of their origin or of the group they belong to (an ethnic group, a nation, a race or a religion). Any description will be automatically recorded and indicated to proper authorities.
- Websites that participate in or transmit inappropriate newsgroup postings or unsolicited e-mail (spam).
- Websites promoting any type of illegal substance or activity (i.e., how to build a bomb, hacking, 'phreaking', etc.)
- Websites with illegal, false or deceptive investment advice.
- Websites that provide incentives of any nature to require or encourage users to click on ad banners (i.e., charity, sweepstakes, etc.).
- Websites that are under construction or incomplete.
- Websites with extremely limited audiences or viewership (less than 50 unique visitors per day).
- Websites that contain any content violating Federal privacy laws, including the Children’s Online Privacy Protection Act.
- Websites generated through free blogging or free forum platforms.
- Websites with more than 6 ads per page, sites with more than 2 pop- ups and / or pop-unders, sites with more than 1 exit pop up.
- Websites presenting no added value to the users. This includes, but is not limited to:
-- Scraped content: Sites with content taken from high-quality sources or “Free Article” sites.
-- Auto-generated content: Sites with programmatically generated content. These sites often have random content that is confusing or nonsensical to a site visitor.
-- Doorway sites: Sites with content designed to increase search engine rank, with little content for an actual site visitor.
-- Made for ad sites: Sites that primarily consists of only advertisements do not constitute content for a landing page.
-- Login to view any content: Sites with landing pages with only a login or registration form.
- Publisher’s Websites and content are at all times compliant with 18 U.S.C. §2257, 18 U.S.C. §2257A and 28 CFR 75 et seq., and shall not violate any law, regulation, rule or custom or violate, infringe or misappropriate any person’s or entity’s rights, including without limitation any property or privacy rights, including intellectual property rights, such as copyrights trademark rights or rights in name or likeness.
Website approval or denial remains at ExoClick sole discretion.
ExoClick regularly check Publishers Website(s). If ExoClick determines that Publisher's Website(s) includes any forbidden content, ExoClick may close Publisher's account without prior notification. In such a case, Publisher shall not be entitled to the payment of the revenue remaining in its Administration Panel.

Anti Fraud Policy:
ExoClick does not allow any of the following methods, but without limitation, to artificially generate impressions or clicks such as:
- Placement of advertisements in order to induce clicks. This includes the following:
-- Placing an image, photo, or thumbnail above or next to a text ad. This results in lower conversion rates for advertisers and is prohibited.
-- Misleading labels: Do not mislabel a zone, such as labelling a banner placement “Free Video” as opposed to "Advertisement".
-- Blind links: Placement of a text ad or a banner ad in a manner that it looks like site content or a site navigation link.
-- Ad modification: An ad must be shown its original form, must be fully visible, and the zone code cannot be modified to change the targeting, behavior, or delivery of ads.
-- Gimmicky ad: Placement of an ad in a manner that makes it difficult to distinguish from site content.
-- General click enticement: Asking visitors to click on an ad in order to support a site.
- Incentive programs such paid to click, paid to read, paid to search, paid to surf, autosurf, third party services, or click exchange.
- The use of bots or automated click and impression generating tools.
- Clicking on your own ads.
- Displaying banner or text ads in any type of pop-up.
Counts of impressions or clicks will be decided solely on the basis of reports generated by ExoClick Advertising Network.

Excessive Advertisement:
To ensure a quality experience for advertisers and end users, ExoClick does not allow excessive placement of ad spots on a page.
- You may place a total of six ad zones per page. A divided ad spot is considered as one (1) ad spot. (e.g. a footer in 900x250 divided in 3 cubes is considered as one ad zone).
- You may not display the same zone multiple times on one page. You need to create unique zones.
- ExoClick reserves the right to disable zones if they severely degrade advertising effectiveness.
